By placing an order, you confirm that the information you provide is accurate and that you are legally entitled to enter into the transaction.

You are responsible for taking reasonable steps to safeguard your account credentials and for notifying us promptly if you become aware of unauthorized access to or use of your account.

5. User Responsibilities and Conduct

5.1 You agree to:

• Use the Services in accordance with applicable laws and regulations.
• Provide accurate and lawful information when creating an account, placing an order, requesting a quotation, or contacting us.
• Provide reasonable information required to process, verify, deliver, or support your order.
• Cooperate with reasonable payment, fraud-prevention, compliance, or identity-verification procedures where required.

5.2 You must not:

• Use the Services for unlawful, fraudulent, abusive, or misleading purposes.
• Upload, transmit, or submit content that is illegal, harmful, infringing, or otherwise unlawful.

• Copy, scrape, reverse-engineer, interfere with, or misuse the Services except to the extent expressly permitted by applicable law.

6. Intellectual Property

Website content created or owned by NCIEM UG, including applicable text, design elements, graphics, logos, software, and other materials, is owned by NCIEM UG or used under appropriate licence and is protected by applicable intellectual-property laws.

Third-party trademarks, brand names, product names, logos, images, and other intellectual property displayed on the website remain the property of their respective rights holders. Their display is for product identification, information, and legitimate resale purposes where applicable.

Unauthorized reproduction, modification, distribution, or commercial use of protected website content is prohibited except where permitted by applicable law or with the relevant rights holder's permission.

7. Product Information and Warranties

Product descriptions, technical specifications, images, compatibility information, and other product data may be supplied by manufacturers, distributors, or other approved sources.

We make reasonable efforts to present product information accurately. However, specifications, packaging, appearance, availability, and other product details may be changed by the manufacturer without prior notice.

Manufacturer or supplier warranties apply where applicable and as described in the relevant product information or warranty documentation.

Nothing in these Terms limits any statutory warranty, conformity, remedy, or consumer right that cannot lawfully be excluded or restricted.

8. Limitation of Liability

Nothing in these Terms excludes or limits liability where such liability cannot lawfully be excluded or limited under applicable law.

In particular, these Terms do not restrict any mandatory statutory rights or remedies available to consumers.

To the extent permitted by applicable law, NCIEM UG shall not be responsible for losses that were not reasonably foreseeable at the time the relevant contract was concluded or that result from circumstances outside our reasonable control.

Where liability arises from a negligent breach of an essential contractual obligation, liability may, to the extent permitted by law, be limited to the loss that was reasonably foreseeable and typical for the relevant contract.

Consumer protection: Nothing in this section is intended to exclude or limit liability for death or personal injury, intentional misconduct, gross negligence, mandatory product liability, or any other liability or consumer remedy that cannot lawfully be excluded or limited.

9. Responsibility for Misuse of the Services

You may be responsible, in accordance with applicable law, for losses or claims caused by your intentional or negligent violation of these Terms, infringement of third-party rights, or unlawful misuse of the Services.

This provision does not create obligations beyond those permitted under applicable law and does not restrict any mandatory rights available to consumers.

10. Suspension and Termination

We may restrict, suspend, or terminate access to an account or particular Services where reasonably necessary, including in cases of:

• Material or repeated violations of these Terms
• Fraudulent or unauthorized activity
• Security risks
• Misuse of the website or Services
• Compliance with legal or regulatory requirements

Any suspension or termination will be carried out subject to applicable law and will not affect rights or obligations that have already arisen under an existing transaction.

11. Warranties

Products may be covered by manufacturer or supplier warranties where applicable and as stated in the relevant product or warranty documentation.

Any commercial manufacturer's warranty is separate from, and does not replace or restrict, statutory rights available to consumers under applicable law.

12. General Provisions

12.1 These Terms, together with policies and terms expressly incorporated into the relevant transaction, set out the applicable contractual framework between you and NCIEM UG regarding your use of the Services.

12.2 If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain unaffected to the extent permitted by law.

12.3 A failure or delay by NCIEM UG in exercising a right or remedy does not constitute a waiver of that right or remedy.

12.4 Rights or obligations under a particular contract may not be transferred where such transfer would be contrary to applicable law or the terms of the relevant transaction.

12.5 Our Shipping Policy, Returns & Refunds Policy, Warranty Policy, Privacy Policy, Payment Policy, and other published policies provide additional information relevant to particular aspects of our Services and transactions.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Germany, subject to applicable mandatory consumer-protection provisions.

If you are a consumer residing in another country of the European Union or European Economic Area, this choice of German law does not deprive you of mandatory protections that apply under the law that would otherwise govern your consumer contract.

The competent courts will be determined in accordance with applicable German and European Union rules on jurisdiction. Nothing in these Terms is intended to prevent a consumer from bringing proceedings before a court that has jurisdiction under mandatory consumer-protection rules.
